Sanofi Acquires Vigil Neuroscience to Advance Alzheimer’s Treatment

At the core of the acquisition is VG-3927, Vigil’s lead investigational therapy targeting TREM2, a protein essential for microglial activity in the brain. The oral small molecule aims to activate a protective immune response to slow or potentially alter the progression of Alzheimer’s disease. VG-3927 is expected to enter Phase 2 clinical trials soon.
Sanofi will pay $8 per share upfront, with an additional $2 per share tied to the commercial launch of VG-3927. The upfront payment amounts to approximately $470 million, with the total consideration reaching around $600 million.
The acquisition follows Sanofi’s $40 million equity investment in Vigil in June 2024, which included exclusive negotiation rights for VG-3927. The transaction strengthens Sanofi’s neurology pipeline and highlights its commitment to addressing Alzheimer’s.
The deal is anticipated to close in the third quarter of 2025, pending regulatory approval.
