Factory buys HumanLayer to add team coordination for coding agents

What's the deal? Factory, an enterprise AI software engineering company, has acquired coding agent platform HumanLayer for an undisclosed sum. Co-founders Dex Horthy and Kyle Mistele are joining Factory, which plans to open-source the product.

What each side does? Factory, founded in 2023 by Matan Grinberg and Eno Reyes, builds autonomous "Droids" that plan, build and validate software inside a company's infrastructure. HumanLayer is a multiplayer coding agent IDE and cloud that lets teams run agents locally or in the background.

What's the endgame? Factory is buying team coordination — the layer enterprises need when hundreds of engineers run agents across many repos at once. Over the next few weeks, it plans to fold HumanLayer features such as multiplayer tasks, workstreams and in-app collaboration on agent-written plans into its platform.

What changes for users? HumanLayer stays up through a transition period. Existing users can export their data, migrate to Factory, or self-host the open-source version, whose core has been under the Apache 2.0 license since October 23. Factory also said it will refund recent paying customers.

Why now? The deal reflects a race to consolidate coding-agent tools. On the same day, Meta acquired Conductor, which coordinates multiple coding agents, and OpenAI said it planned to buy developer-tools startup Pierre.

The signal: Factory has been expanding through acquisitions, including data-context startup TypedefDealroom has a profile for this one. Try Dealroom →, and raised $200 million at a $5 billion valuation in September. HumanLayer adds coordination rather than another code-generation model — a sign the market's next battleground is managing agents at team scale, not just generating code.
