Enova to raise $600M in notes to refinance 11.25% debt

What's the deal? Enova International said it plans to raise $600 million through senior notes due 2031, a private offering aimed at refinancing existing debt. The lender will use the proceeds to redeem all of its outstanding 11.25% senior notes due 2028 on December 15, 2026, cover fees, and repay part of its revolving credit facility.

Who's Enova? The NYSE-listed company provides online financing to small businesses and consumers underserved by traditional banks, operating brands including CashNetUSADealroom has a profile for this one. It uses machine learning and proprietary technology to underwrite loans.

How it works: The notes and related guarantees will be senior unsecured obligations, backed by Enova's existing and future domestic subsidiaries, with exceptions such as securitization subsidiaries. The offering is private, open only to qualified institutional buyers under Rule 144A and certain non-US investors under Regulation S; the notes are not registered under the Securities Act.

Why now? Retiring the 11.25% notes early could ease interest costs, though Enova has not disclosed the new coupon or final terms, so any savings remain unquantified. The move lands as the lender grows quickly: third-quarter 2026 revenue rose 26% year over year to $1.01 billion, originations climbed 31%, and net charge-offs eased to 8.1% from 8.5%.

What could go wrong? Credit risk is a lingering caveat. S&P recently affirmed Enova's B rating and stable outlook, flagging high annualised net charge-offs relative to rated peers and leverage of 4.2x. The planned redemption also depends on Enova completing the new offering.

The signal: This is a liability-management move, not new growth capital — Enova is resetting its debt stack on more favourable terms while demand for its lending holds up. The $600 million raise sits in the 44th percentile by size, a solid but not outsized transaction for a scaling fintech lender refinancing ahead of its 2028 maturity.
