Public Policy Holding lands $105M credit facility to fuel acquisition spree
What's the deal? Public Policy HoldingDealroom has a profile for this one. Try Dealroom → Company (PPHC) has entered a new $105 million senior secured credit facility with a US commercial bank. It comprises a $65 million term loan and a $40 million revolving credit facility, running five years to maturity on November 2, 2031.
Why now? The facility funds the immediate cash portion of PPHC's acquisition of Reevemark LLC, announced the same day. It also refinances roughly $39.8 million of existing debt outstanding as of September 30, 2026, consolidating borrowings into a single structure.
What's the endgame? PPHC, a global strategic communications provider spanning government relations, public affairs, and corporate communications, is pursuing acquisition-led growth. The facility adds working-capital capacity and extends the company's debt maturity profile to support that strategy.
The Reevemark deal is valued at up to $80 million — $28 million upfront and up to $52 million contingent on performance — and follows PPHC's July acquisition of TancrediDealroom has a profile for this one. Try Dealroom → and other additions in policy research and government relations this year.
By the numbers: Interest is payable at SOFR plus a margin of 185 to 230 basis points, set by the group's net leverage ratio. PPHC intends to syndicate the facility to $150 million, with an uncommitted accordion option of up to a further $50 million.
What could go wrong? The planned syndication to $150 million is on a best-efforts basis and remains subject to lender commitments, expected to close in January 2027. So the headline figure should not be read as wholly available at closing, and part of the financing need is tied to integration and future performance.
Chief executive officer Stewart Hall said the facility "strengthens our financial position."
The signal: At $105 million, the facility sits in a modest percentile for raise size, but it signals a clear bet on consolidation. PPHC is trading some equity flexibility for secured borrowing to roll up a fragmented communications and policy market.
