Nuclea Energy to go public via SPAC merger at $350M value
What's the deal? Advanced nuclear developer Nuclea EnergyDealroom has a profile for this one. Try Dealroom → has agreed to merge with blank-check firm NorthStrive Acquisition Corp IDealroom has a profile for this one. Try Dealroom →, a deal that values Nuclea at an enterprise value of $350 million. On closing, the combined company would be renamed Nuclea-X Inc. and list on Nasdaq.
Who's involved? Mississauga, Ontario-based Nuclea is building the Morpheus Micro Modular Reactor, a transportable, factory-built, lead-cooled system scalable from 3.5MWe to 50MWe. NorthStrive Acquisition Corp I is a special purpose acquisition company trading on Nasdaq.
What's the endgame? Nuclea wants to build a closed nuclear fuel cycle through its pending acquisition of Moltex, agreed in August. That deal would pair Moltex's WATSS spent-fuel recycling process with Nuclea's reactor portfolio, including the Stable Salt Reactor-Wasteburner.
Why now? Investor interest in advanced nuclear has revived as data centres and other energy-intensive industries drive demand for reliable, low-carbon power. "We believe we are uniquely positioned to deliver the sustainable, zero-emission power that data centers and other energy-intensive industries increasingly demand," said chief executive officer Josef Freundorfer.
What could go wrong? The transaction is conditional and far from certain. Closing requires completion of the Moltex deal — including clearance under the UK National Security and Investment Act 2021 and export control licences — shareholder approvals, SEC effectiveness, a minimum-cash condition, and dissent rights not exceeding 5% of Nuclea's shares.
The companies target a close in the first half of 2027, a milestone rather than a guarantee.
The signal: The merger reflects renewed appetite for advanced reactors and fuel-recycling technology, but it is not evidence that Nuclea's systems are commercially proven. For now, the deal gives an early-stage developer a public platform and capital — if the conditions hold.
