Eventer closes C$2.48M placement, eyes Nasdaq listing

What's the deal? Eventer TechnologiesDealroom has a profile for this one. Try Dealroom → (TSXV: EVNT), an Israeli SaaS platform for managing and selling tickets to live events, has closed a non-brokered private placement, raising C$2,475,000. It sold 33,000,000 units at C$0.075 each, with each unit including one common share and one warrant.

The terms: Each warrant lets holders buy a share for US$0.072 (C$0.10) until 17 August 2029. If Eventer's securities are approved to trade on the Nasdaq Stock Market, the company will accelerate the expiry of half the unexercised warrants. Eventer paid C$204,188 in finder's fees and issued 4,125,000 common shares to an arm's-length finder.

Use of proceeds: Eventer plans to use the net proceeds for general working capital, including evaluating prospective transactions, settling liabilities, and covering corporate and administrative expenses. The offering remains subject to final approval from the TSX Venture Exchange and other applicable regulatory approvals.

The signal: The warrant acceleration provision tied to a Nasdaq listing points to Eventer's ambition to move beyond Canada's junior exchange and broaden its access to capital.
