Zanatta family to buy €50M Tecnica stake as founders lift control to 69%
The Zanatta family's Prime Holding has agreed to buy a 9.09% stake in Italy's Tecnica Group from Italmobiliare for roughly €50 million. The deal lifts the founding family's holding from 60% to 69.09%, while Italmobiliare, the Pesenti family's investment vehicle, drops from 40% to 30.91%.
The purchase builds on a partnership that began in 2017, when Italmobiliare took its 40% stake. President Alberto Zanatta called the move "the natural evolution of the path initiated in 2017," signalling a long-term commitment through what he described as "a concrete investment."
Tecnica Group, based in Giavera del Montello, Treviso, owns brands including Tecnica, Nordica , Blizzard, Lowa, Moon Boot, and Rollerblade. Since 2017, its turnover has climbed from €368 million to more than €540 million by 2025, a stretch of growth the family is now betting on.
First-half 2026 revenues rose 1.3% to €173.8 million, up from €171.5 million a year earlier, with an improved operating margin. The winter sports segment — Nordica, Tecnica, Blizzard, and Moon Boot — grew 23.6%, though Lowa declined against a strong 2025 comparison. Net financial position stood at negative €163 million as of June 30, 2026.
The agreement hinges on finalising a loan contract with a pool of banks, which have already given a binding commitment. Closing is expected before the end of the third quarter of 2026.
Completion triggers a new shareholders' agreement and revised corporate bylaws. Minority protections stay largely intact, but Prime Holding gains purchase options over Italmobiliare's remaining shares.
The deal marks a founding family reasserting control of a global sports-gear maker after an eight-year run of expansion, while its financial partner stays on rather than exiting. Italmobiliare says it intends to keep supporting the group — a sign the 2017 alliance is evolving, not ending.
