Entrée raises $25.9M to fund Mongolia copper stake
What's the deal? Entrée Resources, a Canadian mining company, has closed an oversubscribed non-brokered private placement, raising gross proceeds of US$26.6M. It issued 12,485,300 units at US$2.13 each, with each unit comprising one common share and a three-year warrant exercisable at US$2.9.
Why now? Strong demand pushed Entrée to lift the financing by US$3.15M above its original target. The securities carry a hold period expiring March 5, 2027.
What's the endgame? Entrée holds a carried 20% or 30% participating interest in the Entrée/Oyu Tolgoi joint venture in Mongolia — one of the world's largest copper-gold projects. Net proceeds will fund an updated technical report on that interest and expand the company's presence in Mongolia.
Insiders acquired an aggregate 425,800 units on the same terms as other subscribers. Their participation was exempt from formal valuation and minority-shareholder approval rules, as it did not exceed 25% of the company's market value.
What could go wrong? Entrée's participation hinges on transferring its Mongolian joint-venture licences to Oyu Tolgoi LLC — a step needed for development of Lift 1 Panel 1 to proceed. Discussions with Mongolian authorities are ongoing, and the oversubscription does not resolve that regulatory hurdle. The warrants attached to each unit also create potential dilution.
The signal: The raise lands as Oyu Tolgoi's underground mine ramps up, with Rio TintoDealroom has a profile for this one. The oversubscribed placement reads as a vote of investor confidence in the project's long-term value — even as execution and regulatory questions remain unsettled.
