Youlife raises $3M convertible note, with up to $9M more on the table

What's the deal? Youlife Group (NASDAQ: YOUL), a Chinese blue-collar workforce service provider, has entered a securities purchase agreement with an institutional investor for a $3 million convertible note in a registered direct offering. The agreement allows for subsequent closings of up to an additional $9 million, subject to both parties' consent.

The fine print: The 9% senior original issue discount note carries a subscription amount of $2.73 million, and Youlife expects gross proceeds of about $2.7 million before expenses. It matures in 12 months and will not bear interest unless the company defaults.

What's the money for? Youlife intends to use net proceeds for working capital and general corporate purposes. The release names no more specific plan.

Why it matters: The note converts at the investor's option into Class A ordinary shares represented by ADSs, with up to 65,502,184 shares issuable. Conversion runs at the lower of a fixed price or a market-based price, subject to a floor and a 9.99% beneficial ownership limit — terms that could translate into substantial dilution.

Youlife operates 180 domestic branches and more than 10 overseas offices, partnering with over 10,000 enterprises worldwide. Its first-half 2026 revenue rose 114.8% year over year, but gross profit grew only 31.7% as margin narrowed to 8.6%, reflecting a shift toward lower-margin workforce management services.

The signal: Framed against that squeezed margin, this reads less as a conventional growth round than as short-term working-capital financing — one that trades near-term cash for potentially heavy shareholder dilution.
