Beyond Frames lends $410K to Corvenia ahead of reverse takeover
What's the deal? Beyond Frames EntertainmentDealroom has a profile for this one. Try Dealroom → has agreed to lend US$483.5K (≈$410,000) to Corvenia ABDealroom has a profile for this one. Try Dealroom →, the AI financial-consolidation company it plans to absorb through a reverse acquisition. The short-term loan carries 12% annual interest and matures on March 28, 2027.
Why now? On October 30, 2026, Beyond Frames signed a share purchase agreement to acquire Corvenia, a deal that values the AI company at roughly US$28.9M. The loan funds Corvenia's marketing and customer acquisition while the transaction awaits approval.
What's the endgame? Beyond Frames, a Stockholm-based games developer listed on Spotlight Stock Market, plans to rename itself Corvenia and refocus on the AI platform, which automates group consolidation by connecting data across different financial systems. Its current gaming business would be divested.
Under the reverse acquisition, Corvenia's shareholders would own 75% of the combined group and Beyond Frames' current shareholders 25%. Completion is conditional on Spotlight approval, a shareholder vote planned for December 1, 2026, and an acceptance threshold among Corvenia's owners.
What could go wrong? The loan is secured by Corvenia raising new capital, and must be repaid immediately if the acquisition is not approved and completed. Corvenia has reported a contract to roll out its platform across seven companies in Norway's Demano Group, but it expects profitability only in 2027.
Beyond Frames said the loan is "not expected to have any significant impact" on its operations. Its shares have fallen more than 67% year-to-date.
The signal: The financing shows a listed shell effectively bankrolling its intended successor before a deal closes — supplying working capital to the business it hopes to become, while carrying the execution and repayment risk if the takeover or Corvenia's growth plans stall.
