PegBio raises $10.2M in discounted H-share placement, its second in a year

What's the deal? PegBio, a Hong Kong-listed metabolic-disease drug developer, has priced a conditional placement of 26,813,000 new H shares at US$0.36 each to raise about US$9.68M (roughly $10.2 million). The price marks a 19% discount to the stock's US$0.45 close on November 2, 2026.

Where the money goes: Net proceeds of about US$9.33M are earmarked 60% for R&D on next-generation candidates PB-2309, APGP6, and PB-2312; 20% to repay bank loans; and 20% for working capital. PegBio expects to fully use the funds by December 31, 2027.

Why now? The company carried roughly US$17.2M (about US$17.8M) in outstanding bank loan principal as of September 30, 2026. The loan repayment allocation covers only part of that debt.

How it works: Macquarie Capital is sole placing agent on a best-efforts basis, placing shares with at least six independent institutional or professional investors. The deal uses a general mandate granted on June 24, 2026, so no shareholder vote is needed, and completion hinges on non-waivable Listing Committee approval.

Existing shareholders face dilution of about 6.42% of the enlarged share capital. A 30-day lock-up on further issuances applies from closing, expected on the fifth business day after November 3, 2026.

What could go wrong? This is PegBio's second discounted H-share raise in under a year — it raised about US$35.7M in December 2025 at a smaller 10% discount. The deeper discount and repeat issuance point to continued financing needs, even after the company reported a US$7.37M royalty payment in June 2026.

The signal: Repeat discounted placements are a familiar funding path for clinical-stage biotechs burning cash on pipelines before revenue arrives. PegBio's September collaboration with SN BioScience on next-generation peptide candidates gives the R&D-heavy spend a strategic backdrop — but the widening discount is a reminder of the price young drug developers pay to keep the lab lights on.
