Marvell strikes $115B all-stock deal for optical maker Lumentum

What's the deal? Marvell Technology has agreed to buy data centre component maker Lumentum in an all-stock transaction valued at $115 billion, the US semiconductor company said on November 2. Under the terms, Lumentum shareholders will receive a fixed exchange ratio of 4.500 Marvell shares for each Lumentum share they hold — a premium of about 23.9% to Lumentum's unaffected share price — and will own roughly 33% of the combined company, with Marvell shareholders holding the remaining 67%. The deal pairs Marvell's chip and networking products with Lumentum's lasers and optical manufacturing.

Why now? As AI data centres grow, operators need faster optical links to connect them — not just the chips that process data. Lumentum's capacity was reported sold out into 2029, evidence that supply access has become strategically valuable.

What's the endgame? Marvell has been expanding its AI connectivity business, including a major custom-chip agreement with Google and its February purchase of optical interconnect firm Celestial AI. Adding Lumentum brings optical components closer to its chip and networking portfolio and broadens its challenge to Broadcom. The companies point to more than $1 billion in annual run-rate cost synergies from the combination.

What could go wrong? The transaction is not expected to close until 2028, a long runway that leaves execution, valuation, and regulatory approval as open questions. At $115 billion in enterprise value, it is an unusually large bet on sustained AI infrastructure spending.

The signal: The deal reflects a rush to lock up the optical links and components needed to wire up ever-larger AI data centres. Nvidia had already made separate $2 billion investments in Marvell and Lumentum this year — a sign that controlling the supply chain, from chips to lasers, is now a core competitive move.
