Wabtec prices $500M in 2037 notes to refinance 2026 maturity

What's the deal? Wabtec Corporation has priced a $500 million public offering of 5.900% senior notes due 2037, the rail-equipment maker said on November 2, 2026. The notes will be guaranteed by current and future subsidiaries that back its other debt.

Why now? The raise is a refinancing. Wabtec plans to use the proceeds, along with revolving or short-term borrowings and commercial paper, to repay its 3.45% notes maturing November 15, 2026.

The numbers behind it: As of September 30, 2026, Wabtec carried $6.38 billion in total debt — including $750 million of the maturing notes — against $2.09 billion in available liquidity. The new 5.9% coupon signals a higher stated borrowing cost than the notes it replaces, though that gap alone does not capture the full financing mix.

What's the context? The deal lands as Wabtec posts strong results. Third-quarter sales rose 8.1% to $3.12 billion, the company raised its 2026 adjusted-EPS outlook, and it reported a $31.4 billion backlog.

Nine-month net sales climbed to $9.25 billion from $8.20 billion a year earlier, while net income attributable to shareholders rose to $1.17 billion from $968 million.

The signal: This is routine balance-sheet management, not new growth funding. By pushing a maturity out to 2037, Wabtec extends its debt profile rather than signalling fresh operating investment — a move that ranks among the smaller debt raises by deal size.
