L3Harris prices $1B notes to refinance looming 2026-2027 debt

What's the deal? L3Harris Technologies priced a $1 billion senior unsecured note offering on November 2, 2026, split into two $500 million tranches. The 2029 notes carry a 5.200% coupon; the 2032 notes carry 5.400%, according to the company's filing.

Who's involved? Eleven joint book-running managers led the deal, including Citigroup Global MarketsDealroom has a profile for this one. Try Dealroom →, J.P. Morgan Securities, BofA SecuritiesDealroom has a profile for this one. Try Dealroom →, Morgan Stanley, and Wells Fargo SecuritiesDealroom has a profile for this one. Try Dealroom →. Settlement is expected on November 5, 2026.

Why now? This is balance-sheet management, not growth capital. L3Harris held $11 billion of debt at the end of its third quarter and faces near-term maturities, including $550 million due in December 2026 and $1.25 billion in January 2027.

What's the endgame? S&P said L3Harris planned to repay $800 million of upcoming debt and refinance the remaining roughly $1 billion due early next year. It affirmed the defense contractor at BBB and assigned the same rating to the new notes.

The raise lands near the 90th percentile by amount among 236 post-IPO debt rounds in the security sector — a sizeable issuance even for a major contractor.

The backdrop: L3Harris posted a record $53.2 billion backlog last quarter and raised its 2026 revenue guidance to between $23.5 billion and $23.7 billion. Strong defense demand underpins the borrowing, even as the issuance mainly covers maturities rather than new investment.

The signal: Robust order books let defense firms refinance on favourable terms, extending maturities while preserving financial flexibility. For L3Harris, the offering buys time — not new growth.
