CICC closes $17.1B triple merger to become China's fourth-largest broker by net capital
What's the deal? China International Capital Corporation (CICC) has completed a merger absorbing Dongxing SecuritiesDealroom has a profile for this one. Try Dealroom → and Cinda Securities, in a deal valued at roughly US$15.7B. It is the first merger of three listed brokerages on China's A-share market.
Why now? The transaction took nearly a year. CICC, Dongxing, and Cinda — all tied to state investor Central HuijinDealroom has a profile for this one. Try Dealroom → — announced the restructuring on November 19, 2025, before regulators cleared it in September and settlement closed on October 26.
What changes? CICC now inherits all assets, liabilities, business, staff, contracts, and licences from the two absorbed firms, which have delisted and will be deregistered after client migration. The company issued 3.1 billion new A-shares to fund the all-stock deal.
What's the endgame? The merger lifts CICC's net capital from US$6.61B to US$14.2B, moving it from 12th to fourth in the industry by that measure, based on end-2025 figures. Its branch network grows from 247 to 441 outlets, deepening coverage in Fujian, Liaoning, Guangdong, Zhejiang, and Jiangsu, while retail clients top 15 million. Combined total assets reach about US$171.9B under 2026 half-year figures.
What could go wrong? Settlement completes the legal process, but client migration, systems, and staff integration remain the real test. CICC flagged that some cross-period settlement operations may face brief disruption, with details to follow.
The signal: The deal extends a wave of brokerage consolidation that followed the 2025 merger of Guotai JunanDealroom has a profile for this one. Try Dealroom → and Haitong Securities. China Securities Regulatory Commission chairman Wu Qing recently said regulators would "support industry mergers and subsequent integration" to build a world-class investment bank, signalling that scale alone is now a policy goal — even if operational results have yet to prove out.
