Costa Rica's largest credit union clears a step toward $3.5B merger
What's the deal? Costa Rica's competition regulator, Coprocom, has received formal notification of a merger between credit unions Coopenae and CoopeAnde, in which Coopenae absorbs CoopeAnde. Both operate in financial intermediation, and the combined entity would run under the Coopenae brand.
Why now? Delegates of both cooperatives approved the integration on October 17. Coprocom was notified on October 21 and forwarded the file to the Consejo Nacional de Supervisión del Sistema Financiero (Conassif) on October 22.
What's the endgame? The deal would create the country's largest savings-and-credit cooperative, with roughly ₡1.6 trillion (about $3.5 billion) in combined assets. Coopenae already leads the regulated cooperative sector; CoopeAnde ranks third. Together, the two reported 38 branches and 1,559 staff.
What happens next? Conassif has 15 calendar days to decide whether to take over the final ruling for prudential reasons tied to solvency, soundness, and financial stability. If it declines, Coprocom resumes control and may authorise, condition, or reject the merger based on competition effects.
What could go wrong? The notification is procedural, not approval. "The receipt of the notification does not mean that the concentration has been authorised, denied, or conditioned," Coprocom said. Until the regulatory green lights arrive, both cooperatives keep operating separately, and the outcome remains open.
Coprocom president Marco Vinicio Arroyo said the regulator "will act with the technical rigour and objectivity that characterise its functions," protecting competition and consumer welfare. (translated from Spanish)
The signal: The tie-up would push the merged cooperative past private lender Banco Promérica in assets, according to figures reported as of August 1.
