3 E Network raises $5M in private placement led by CEO's entity

What's the deal? 3 E Network Technology GroupDealroom has a profile for this one. Try Dealroom →, a Nasdaq-listed B2B IT firm (MASK) building toward AI infrastructure, has agreed to a $5 million private placement of 2,751,789 Class A ordinary shares at roughly $1.8170 each. The buyers are a Singapore entity controlled by chief executive officer Tingjun Yang, which took 1,157,823 shares for $2,103,764, plus six individual accredited investors.

Why now? The deal lands as 3 E Network pursues capital-intensive AI infrastructure plans and shores up near-term liquidity. It coincides with a two-for-one share consolidation, with shares set to trade post-consolidation from October 30, 2026 — the date before which the placement cannot close.

What's the endgame? The company says it intends to use proceeds for general working capital, ordinary course operations, and other corporate purposes. It frames its broader ambition around an "AI and energy symbiosis" strategy.

The raise follows a run of smaller financings, including a September placement of up to $1 million to the same CEO-led entity and a May agreement for up to $1.3 million in secured convertible notes. The company has also begun phased shipments under a roughly $5 million core storage hardware contract, which could add operating cash flow if collections proceed.

What could go wrong? The CEO's participation makes this a related-party transaction, reviewed and approved by the audit committee and board. The share issuance raises dilution and governance questions, and the unregistered shares are restricted from US resale absent registration or an exemption.

The signal: At $5 million, this sits in the bottom percentiles of disclosed rounds — modest insider capital, not a large new institutional commitment. For 3 E Network, it reflects a small-cap leaning on its founder to fund ambitions that outsize its current balance sheet.
