Modi family's $6.2M open offer targets control of South India Paper Mills

What's the deal? Nandini Modi and Kirit Modi have launched a mandatory open offer to buy up to 48,75,000 shares — 26% of The South India Paper Mills Limited — at US$1.63 each in cash. If fully accepted, the offer would cost US$7.94M (roughly $6.2 million).

Why now? The offer was triggered by a Share Purchase Agreement dated August 18, 2026, under which the acquirers agreed to buy 37,90,240 shares — a 20.21% stake — from existing shareholders Harshad and Rajul Modi at the same US$1.63 price. Under SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, that purchase forced a public offer to minority holders.

What's the endgame? This is a change-in-control transaction, not a passive stake. After the share purchase, the acquirers and their concert parties will hold 39.39%; if the open offer is fully accepted, that could rise to 65.39%, reclassifying them as the promoter group.

The South India Paper Mills, listed on the BSEDealroom has a profile for this one. Try Dealroom → and NSE, is a paper and forest-materials company with a market capitalisation of about US$29.5M. The acquirers say they intend to position it for "enhanced operational efficiency and long-term value creation."

By the numbers: The offer opens October 22, 2026, and closes November 4, 2026, with acceptance on a proportionate basis if oversubscribed. There is no minimum acceptance threshold. The company's Committee of Independent Directors unanimously called the offer "fair and reasonable," noting the US$1.63 price exceeds the prevailing market price; the stock recently traded near US$1.57.

Indcap Advisors is managing the offer, with ICICI Bank as escrow agent. The acquirers confirmed they are funding the deal from liquid assets, with no bank borrowing.

The signal: The transaction is chiefly a family-linked control change within a single listed mill rather than industry-scale consolidation. It arrives, though, as the broader paper sector reshuffles — ITC completed its Century Pulp and PaperDealroom has a profile for this one. Try Dealroom → acquisition in 2026, and JK PaperDealroom has a profile for this one. Try Dealroom → has kept expanding its packaging business.
