Phenna Group buys Italy's Studio Santi to deepen energy transition work

What's the deal? Phenna Group has agreed to acquire Studio Santi, a Rome-based energy management and sustainability firm, for an undisclosed sum. Studio Santi provides testing, inspection, technical assurance, and regulatory compliance services, and will join Phenna's Built Environment Division in EMEA.

What each does: Founded in 2001 by Federico Santi, Studio Santi specialises in energy efficiency, renewable energy, building performance, and sustainability compliance. Phenna is a testing, inspection, and certification group expanding across EMEA.

What's the endgame? Phenna says the business is highly complementary to its existing Italian operations, 4Fores and Asprel. Together, they will serve clients across renewable energy technical due diligence, solar photovoltaic and battery storage projects, grid compliance, and energy-performance verification.

Why now? The deal targets a market Phenna calls "rapidly developing," as clients respond to changing energy, infrastructure, and regulatory requirements. It lets Phenna support more stages of the energy lifecycle, from early technical assessment through construction quality assurance and ongoing performance.

What could go wrong? The acquisition remains subject to clearance by the Italian government under its Golden Power Decree, which allows the state to vet deals in strategic sectors.

Studio Santi founder Federico Santi called the deal "an exciting next stage for our company," adding that Phenna "understands the strengths of our business, our people and our specialist knowledge."

Phil Marshall, chief executive officer of Phenna Group, said Studio Santi "strengthens our presence in an important and rapidly developing market, while creating opportunities for collaboration with our existing companies across the Group."

The signal: The deal reflects continued consolidation in the testing, inspection, and certification sector, with acquirers building out specialist capabilities tied to decarbonisation and the energy transition.
