Try Dealroom → acquire the Canadian apparel company for US$3.01 per share in cash. The deal, structured as a plan of arrangement under the Canada Business Corporations Act, will be executed through Marquee's strategic operating partner, JM&A Design & Development.
Who's who? Founded in 1973 from a small cabin in Northern Canada, Roots is a lifestyle brand selling apparel, leather goods, footwear, and accessories. It runs more than 100 corporate retail stores in Canada, two in the US, over 100 partner-operated stores in Asia, and an e-commerce platform serving international markets.
What's next? The arrangement still needs a final order from the Ontario Superior Court of Justice, with a hearing expected on October 15, 2026. Subject to that order and other customary conditions, the deal is set to close in October 2026.
The company also confirmed it has cleared a key regulatory hurdle. The interim commissioner of competition issued a no-action letter, satisfying the Competition Act approval condition set out in the August 20, 2026 arrangement agreement.
Why now? The shareholder vote met both required thresholds: at least two-thirds of votes cast, plus a majority of minority votes under Multilateral Instrument 61-101. Full voting results and the information circular, dated September 8, 2026, are available on SEDAR+.
The signal: The buyout takes a heritage retail brand off public markets and under the control of a brand-management owner, a familiar path for legacy consumer labels seeking to restructure away from quarterly scrutiny.
