Who's who? Founded in 2019, Lanterne Dx is a histopathology contract research organisation (CRO) offering discovery, translational, and clinical biomarker services from a CAP/CLIA-accredited laboratory. Flagship Biosciences, founded in 2009, specialises in AI-powered image analysis and tissue analysis for drug development and diagnostics.
What's the endgame? The merger pairs Lanterne Dx's histopathology and biomarker lab work with Flagship's computational pathology, image analysis, and regulatory support. The goal is a single platform spanning drug development from early discovery through clinical development.
What changes for customers? The combined company offers a single partner across the histopathology, biomarker, and digital pathology workflow, with broader capabilities and deeper technical expertise.
"This merger reflects our strategy of building a more comprehensive biomarker and digital pathology services platform for our customers," said Jon Bishop, chief executive officer of Lanterne Dx.
Who leads? Bishop, founder and CEO of Lanterne Dx, will run the combined organisation. Tom Turi, CEO of Flagship Biosciences, will retire by the end of the year. "Joining forces with Lanterne Dx is a logical next step for Flagship Biosciences and its customers," Turi said.
The signal: The deal reflects consolidation among CROs racing to offer end-to-end services as AI reshapes pathology. Flagship's backer, Ampersand Capital Partners, is a middle-market private equity firm with over $4 billion in assets focused on healthcare — a sign of continued investor appetite for scaled, integrated drug-development platforms.
