Try Dealroom →, the holding company for Chicago-based Parkway Bank, completed a private placement of common stock generating nearly $350 million in gross proceeds. Where's the money going? Parkway used most of the proceeds to fund a private tender offer, buying back shares from existing stockholders. The remainder stays with the company for general corporate purposes.

What's the endgame? The bank plans to strengthen its platform, upgrade technology, recruit bankers, and expand services to small and middle-market businesses across Chicago and the Midwest.

New faces up top: The deal brings a new executive team. David Provost becomes executive chair, Dennis Klaeser executive vice chair, and Chip Reeves president and chief executive officer — each with decades leading Midwest commercial banks.

Why now? Parkway argues that consolidation has left many small and middle-market businesses with fewer local banking options. It sees room to pair relationship banking with added scale and expertise.

"We believe the combination of Parkway's reputation, experienced leadership and significant new capital creates a compelling opportunity for long-term growth," said Kirk Wycoff, managing partner of Patriot Financial Partners.

Reeves framed the investors' stake plainly: "We're owners, not just operators."

The signal: At nearly $350 million, this ranks among the larger non-VC growth equity rounds of the past four years — in roughly the 90th percentile across more than 3,650 comparable deals. The scale underscores investor appetite for established community banks positioned to consolidate share as larger rivals retreat from local markets.
