What's the endgame? ATERRA plans to use the net proceeds to advance the Phase II exploration program at its Totora Copper-Gold Project in the Dos Amigos Mining District in Chile's Region III. The program includes infill drilling, resource expansion drilling, and evaluation of grassroots targets using geophysics and, where warranted, diamond drilling.

Why now? On September 24, 2026, ATERRA reported a maiden Inferred Mineral Resource estimate for Totora of 159.8 million tonnes grading 0.51% copper equivalent — comprising 0.30% copper and 0.15 grams per tonne gold. Phase II aims to increase confidence in that estimate and to begin preliminary metallurgical test work.

The deal is structured under the listed issuer financing exemption, meaning the shares will be immediately free-trading on closing, expected on or about October 14, 2026. Agents will receive a 6% cash commission and broker warrants equal to 6% of shares sold, each exercisable at US$0.04 for 24 months.

What could go wrong? Closing is a best-efforts basis and subject to conditional approval from the Canadian Securities Exchange. As with any early-stage exploration financing, an Inferred Resource carries the lowest level of geological confidence and may not convert to higher-confidence categories.

The signal: The raise sits in the lower tier of funding rounds by size, underscoring how junior explorers rely on modest, staged financings to fund the drilling that de-risks a deposit. For ATERRA, the offering buys the shots it needs to test whether Totora's early numbers hold up.
