Japanese machizukuri firm raises $380K in revenue-linked "town bond

What's the deal? Oga Machi KikakuDealroom has a profile for this one. Try Dealroom →, a machizukuri (town-building) joint venture in Oga, Akita Prefecture, raised US$461.5K (roughly $380,000) through a private placement bond it calls the "Oga Machi Bond." The debt round closed on June 30, 2026, with support from Fanbase CompanyDealroom has a profile for this one. Try Dealroom →.

Who's behind it? The company is a joint venture between craft sake brewery Ine to AgaveDealroom has a profile for this one. Try Dealroom → and Tokyo-based town-building startup NEWLOCALDealroom has a profile for this one. Try Dealroom →, formed in March 2023. Backers of the bond include aihomeDealroom has a profile for this one. Try Dealroom →, Akita Kairiku, and Chuo Kenso.

What's different? The bond carries a 10-year maturity and an unusual structure: a fixed 1.0% coupon plus a portion tied to annual sales at CADARDealroom has a profile for this one. Try Dealroom →, a food and drink hub the company is building. As the business grows, returns to bondholders rise with it.

Holders also receive non-cash perks, including invitations to an annual meeting in Oga. The design casts investors as "partners" rather than creditors, chief executive officer Shuhei Okazumi said, calling the bond "an entrance to meet and stay connected with the people who will brew Oga's future together" (translated from Japanese).

Where's the money going? Proceeds fund CADAR, a combined distillery, retail, and dining space in a renovated former ironworks. The name comes from the Akita dialect word "kadaru," meaning to join or gather. A pizza restaurant on the site, PZ, opened ahead of the hub in April 2026 and drew 276 visitors over two preview days.

Why now? Oga, a scenic peninsula known for its "namahage" folklore and local seafood, is losing 2–3% of its population each year. Ine to Agave launched in 2021 and has since anchored efforts to draw new people to the town, using a converted former station building as its brewery.

The signal: Rural Japan's depopulation is pushing town-building ventures toward financing that binds locals and outsiders to a place, not just a balance sheet. NEWLOCAL now runs six regional joint ventures and targets 10 by 2027 — and revenue-linked community bonds could become a repeatable model for funding small-town revival.
