Mexedia completes €500,000 second tranche of Rockbridge capital increase

What's the deal? MexediaDealroom has a profile for this one. Try Dealroom →, an international tech company listed on Euronext Growth Paris, has completed the second tranche of a reserved capital increase under its investment agreement with Rockbridge Capital Management AG. The tranche was subscribed and fully paid in cash for €500,000, through the issue of 200,000 new ordinary shares at €2.50 each.

Why now? The completion, announced September 28, 2026, fully implements the capital increase resolved by the board on July 24, 2026. It follows the company's earlier disclosures on July 22 and 24.

With the new shares issued, Mexedia's share capital stands at €57,320,000, represented by 8,353,129 ordinary shares. Of the €2.50 price per share, €10,000 was allocated to share capital and €490,000 to the share premium reserve.

What's the endgame? The investment agreement provides for an aggregate commitment of €2,000,000 from Rockbridge. A remaining €1,000,000 is still available, subject to a further board resolution.

The new shares are expected to begin trading on Euronext Growth Paris on October 1, 2026. Because the shares trade on a multilateral trading facility rather than a regulated market, no prospectus is required. Existing shareholders face modest dilution: a 1% holding before the issue drops to 0.9761% after.

The signal: The staged structure — tranches drawn against a capped commitment with pre-emption rights excluded — lets a listed benefit corporation raise equity quickly without a prospectus. It also deepens Rockbridge's stake in Mexedia as the remaining commitment stays in play.
