Innocan Pharma closes first tranche of $330K private placement

What's the deal? Innocan Pharma Corporation, a pharmaceuticals and wellness company based in Herzliya, Israel and Calgary, Alberta, has closed the first tranche of a private placement, raising gross proceeds of US$339.1K (roughly $330,000). It sold 247,314 units at US$1.37 each.

The terms: Each unit comprises one common share and one warrant. Each warrant lets the holder buy a share at US$1.83 over three years, with an acceleration clause if the stock trades at or above $4.80 for 30 consecutive days.

Where the money goes: Innocan intends to use the proceeds for working capital and general corporate purposes. It also paid a finder's fee of 10% in cash and issued 8% finder's warrants to arm's length finders.

What the company does: Innocan operates across pharmaceuticals and wellness. In wellness, it develops and markets self-care and beauty products through its 60%-owned subsidiary BI Sky GlobalDealroom has a profile for this one. Try Dealroom →, which focuses on online sales.

The signal: The raise is small, and the securities carry a four-month hold period under Canadian rules. For a listed micro-cap, a tranche like this is less a growth event than a routine top-up to keep operations funded.
