Universe Global takes control of vaccine maker Cellid in $7.4M deal

What's the deal? South Korean medical-IT firm Universe Global is buying control of vaccine developer Cellid through a US$8.38M third-party share placement. Universe Global will inject the funds to acquire 4,796,163 common shares at US$1.75 each, becoming Cellid's largest shareholder. Existing top holder and chief executive officer Kang Chang-yul drops to second place.

What changes hands? Beyond the stake, Universe Global gains operational control. The new six-member board will seat four directors it names plus two from Kang's side, and it will appoint the chief executive officer. Payment is due November 9, with the new shares locked up for one year.

Who's the buyer? Founded in 2019, Universe Global specialises in a precision-medicine hospital information system and medical-data infrastructure. Its largest shareholder, at 37%, is Korea University's medical-technology holding company; Lee Sang-heon leads the firm.

By the numbers: Universe Global posted revenue of US$2.85M last year and a net loss of US$2.52M. At year-end it held US$7.46M in assets against US$6.79M in liabilities, leaving equity of US$670.7K.

What's the endgame? The two plan to fold Universe Global's clinical data systems into Cellid's "BVAC" cancer-immunotherapy vaccine pipeline, focusing on personalised cancer vaccines built on medical big data. Cellid will spend the fresh capital on research, clinical trials, and a shared platform.

What's next? Both sides agreed to raise more money via convertible bonds, with terms to be set by board resolution. Notably, if the placement and bond funding don't close, all directors and the auditor named by Universe Global must resign.

The signal: The deal shows medical-data operators moving upstream into drug development, betting that patient data infrastructure can sharpen the economics of personalised cancer therapies. Kang framed it as "an important turning point that will raise the competitiveness of the BVAC pipeline."
