Try Dealroom → (ASX: GSS) has agreed the principal commercial terms to merge with fellow Australian diagnostics firm Microba Life SciencesDealroom has a profile for this one. Try Dealroom → (ASX: MAP). Under the all-scrip transaction, GSS will acquire 100% of MicrobaDealroom has a profile for this one. Try Dealroom →'s shares and options via a Scheme of Arrangement, with no cash consideration. Microba shareholders will receive 0.654 new GSS shares per Microba share.

The terms: The deal involves issuing roughly 469 million new GSS shares. Microba shareholders would end up holding about 67% of the combined group, with existing GSS shareholders holding 33%. The enlarged business will stay listed on the ASX under the code GSS.

What's the endgame? The merger brings together two established diagnostics businesses with complementary technologies. GSS's molecular diagnostics platform pairs with Microba's metagenomic testing, creating a broader offering across gastrointestinal and infectious disease diagnostics.

The combined group reported roughly $29.6 million in aggregate FY2026 revenue and distributes products to more than 30 countries. It also held about $30 million in aggregate cash and term deposits as at June 30, 2026.

Why now? The agreement follows merger discussions the companies disclosed on August 26, 2026. Preliminary analysis identified a minimum of $2.5 million to $3 million in annualised gross cost synergies, mainly from consolidating duplicated listed-company and corporate functions.

The merger would also unite GSS's hospital and reference laboratory customers with Microba's clinician networks and pathology partnerships, including relationships with Sonic HealthcareDealroom has a profile for this one. What could go wrong? The merger remains subject to finalisation and execution of a Scheme Implementation Deed, which will contain customary conditions precedent. These include regulatory, shareholder, and Court approvals. The parties intend to execute the deed after GSS shareholders approve proceeding.

The signal: The tie-up reflects consolidation among Australia's mid-sized diagnostics firms, where scale and international reach increasingly determine competitiveness. By combining platforms and stripping out duplicated corporate costs, the two companies are betting a larger, cash-backed group can compete more effectively across borders.
