SPAC QuasarEdge to take Robseek Intelligence public in $1B merger

What's the deal? QuasarEdge Acquisition CorpDealroom has a profile for this one. Try Dealroom →, a Cayman Islands blank-check company listed on the NYSE, will merge with Robseek IntelligenceDealroom has a profile for this one. Try Dealroom → in a deal valuing Robseek at a $1 billion pre-money equity valuation. The parties signed the merger agreement on June 9, 2026, and disclosed it in a quarterly report filed September 21.

How it works: The two firms will combine through a two-step merger structure, with Robseek surviving as a wholly owned subsidiary of a holding company. Robseek shareholders will exchange their shares for a portion of 100,000,000 ordinary shares valued at $10.00 each.

Why now? QuasarEdge is a special purpose acquisition company (SPAC) — it raised money through a public listing specifically to buy an operating business. It completed its initial public offering on April 16, 2026, selling 10,000,000 units at $10.00 apiece for $100 million, then added $15 million through an over-allotment for aggregate gross proceeds of $115 million.

Sponsor Aspira Capital Consulting bought private placement units for total proceeds of $2.85 million.

The numbers: For the three months ended July 31, 2026, QuasarEdge reported net income of $0.04 per basic share. It generated no operating revenues, as it has not begun operations. Formation and operating costs were $456,030 for the quarter.

What could go wrong? The deal remains subject to shareholder approval, an effective registration statement, and a securities listing on Nasdaq or the NYSE. QuasarEdge also warned of substantial doubt about its ability to continue as a going concern, noting it lacks the resources to operate for a year and must complete a combination by July 16, 2027, or liquidate.

The signal: The merger reflects the continued use of SPACs as a route to public markets, letting a private company list without a traditional IPO. Whether QuasarEdge closes before its deadline will test investor appetite for the structure.
