Class A Dig: Windsurf Google $2.4B was talent+licence — not company ACQ; Cognition is the company sale
Class A false company-ACQ Dig (Pass A5). Dealroom incorrectly encoded Google’s Jul 2025 ~$2.4B arrangement as an ACQUISITION round (funding_id 1057315 : amount $2,400 / valuation $2,400 , buyer Alphabet | Google).
Primary / contemporaneous record: Google did not buy Windsurf. Per Reuters / CNBC / TechCrunch and Dealroom’s own note “Google strikes $2.4B hack‑quisition for Windsurf”: Google hired CEO Varun Mohan, co-founder Douglas Chen and ~40 R&D staff, and took a non-exclusive licence to certain Windsurf technology — no equity / no control . Payment (~$2.4B) covered licensing + talent compensation; company remained independent under interim CEO Jeff Wang with remaining staff and product.
Real company ACQ: Days later, Cognition | Devin AI signed a definitive agreement (14 Jul 2025) to acquire Windsurf’s IP, product, brand and remaining employees (Cognition blog; TechCrunch). Round 1058801 (Jul 2025 Cognition ACQ, amount/val empty — terms undisclosed; media estimates ~$250M not Digged) is the company-sale exit and is retained .
Action: Deleted false Google ACQ round 1057315 (import_mode=delete, status 204). Do not re-encode the Google talent+licence as a company ACQUISITION. Cognition empty amount held (never invent).
