Biodexa raises $2.3M in warrant exercise deal

What's the deal? Biodexa Pharmaceuticals, a clinical-stage biopharmaceutical company listed on the Nasdaq as BDRX, has raised roughly $2.3 million in gross proceeds through a warrant exercise transaction. An existing accredited investor agreed to exercise warrants for 2,204,218 American Depositary Shares (ADSs) at $1.05 each. The deal is expected to close on or about September 15, 2026.

How it works: In exchange for exercising the existing warrants for cash immediately, the investor receives new unregistered warrants to buy up to 4,408,436 ADSs. Those new warrants carry the same $1.05 exercise price, are immediately exercisable, and run for five years.

Who's involved: Maxim GroupDealroom has a profile for this one. Try Dealroom → acted as warrant inducement agent and financial advisor. The new warrants were offered in a private placement to accredited investors only; Biodexa has agreed to file a resale registration statement with the US Securities and Exchange Commission.

What's the endgame? Biodexa is building a pipeline for diseases with unmet medical needs. Its lead programs include eRapa, an oral rapamycin formulation for Familial Adenomatous Polyposis and non-muscle invasive bladder cancer; MTX240, a molecular glue for gastrointestinal stromal tumors; and tolimidone, a Lyn kinase inhibitor for type 1 diabetes.

The signal: Warrant inducement deals are a common way for small-cap, clinical-stage biopharma companies to pull in near-term cash without a fresh equity raise. For Biodexa, the transaction converts existing paper into working capital while extending the investor's option through a fresh five-year warrant.
