IRT and Centerspace to merge in $8.1B multifamily REIT deal

Try Dealroom → agreed to merge in an all-stock transaction, forming a middle-market multifamily REIT with a total enterprise value of about $8.1 billion. The combined company would carry a pro forma equity market capitalisation of roughly $5 billion.

The terms: Centerspace shareholders will receive 3.8 IRT shares for each Centerspace share, prompting the issuance of about 67.6 million IRT shares and partnership units. IRT stockholders will own roughly 78% of the combined company and Centerspace shareholders about 22% on a fully diluted basis. Both boards unanimously approved the deal.

What's the endgame? The merger pairs IRT's Sunbelt portfolio with Centerspace's Midwest and Mountain West communities, targeting high-growth, non-gateway markets. The combined company will own 163 multifamily communities across 17 states, with 58% of pro forma net operating income from the Sunbelt, 27% from the Midwest, and 15% from the Mountain West.

Why now? Chairman and CEO Scott Schaeffer said the deal pairs IRT's "high-growth Sunbelt portfolio" with markets that have "historically delivered above-average NOI growth with lower volatility." He expects the added scale to bring greater efficiency and an expanded value-add renovation program.

What's in it for Centerspace? President and CEO Anne Olson said the transaction gives shareholders "enhanced access to capital markets, and a meaningful reduction in leverage." Roughly 80% of the combined company's NOI comes from markets with top-quartile projected population growth.

What could go wrong? The deal still needs approval from both companies' shareholders, plus lender consents and other customary conditions. It is expected to close as early as the end of the fourth quarter of 2026 and to qualify as a tax-free reorganisation for US federal income tax purposes.

The signal: The tie-up reflects continued consolidation among apartment REITs chasing scale in fast-growing, non-gateway US markets, where operators bet stability and efficiency will compound returns.
