Brasnova closes C$238,800 placement, drops rest of raise

It issued 2,388,000 units at 10 cents each, but opted not to pursue the remaining C$511,200 of the planned financing.
The details: Each unit pairs one common share with one warrant, exercisable at 20 cents for 24 months. The company can accelerate that window to 30 days if shares trade at or above 50 cents for 10 consecutive days.
Who's in? An insider subscribed for C$25,000, a related-party transaction under Multilateral Instrument 61-101. Brasnova is exempt from formal valuation and minority approval requirements because the insider's stake stays below 25% of its market capitalisation.
The fine print: Brasnova paid cash finders' fees of C$6,930 and issued 6,930 broker warrants. Securities carry a four-month-and-a-day hold, and the deal closed before exchange approval, which is still pending.
What's the endgame? Brasnova is focused on "securing, developing and monetizing Brazilian critical materials assets and related materials technologies." Proceeds will fund project payments and acquisitions, exploration and development, and working capital.
