Singularity Future Technology raises $5M in second direct offering to fund data centre push

Try Dealroom → (Nasdaq: SGLY) has entered into securities purchase agreements with institutional investors for a registered direct offering of 1,562,500 common shares, or pre-funded warrants in lieu of shares, at $3.20 each. The offering is expected to raise approximately $5.0 million gross and close on or about 21 August 2026, subject to customary conditions.

What's the money for? The company plans to use the proceeds for its planned data centre business. Univest Securities is acting as the sole placement agent, and the offering is made under an effective Form S-3 shelf registration.

What it means: If completed with common stock, the issuance would increase the share count and dilute existing holders. The transaction follows Singularity's $1.8 million registered direct offering announced in August 2026 and its $2 million private placement announced in July 2026.
