How was it structured? Under the July 7, 2026 agreement, a Pentagon subsidiary amalgamated with Prospectiva Canada Finco Inc.Dealroom has a profile for this one. Try Dealroom →, and Pentagon acquired all of Prospectiva UK's ordinary shares. Holders received one resulting issuer share for each Prospectiva ordinary share on a post-consolidation basis. Ahead of closing, Pentagon consolidated its shares on a 1-for-5.8725 basis and completed the name change, both approved at a shareholder meeting on August 27, 2025.
The offering: Prospectiva UK and Pentagon raised aggregate gross proceeds of C$3,681,483 through 4,545,041 subscription receipts priced at 81 cents each. That comprised a brokered placement of 2,895,900 receipts for C$2,345,679, led by Paradigm CapitalDealroom has a profile for this one.
