Thales moves to buy Exail Technologies at €134 per share

Thales has signed a tender offer agreement to acquire all shares and bonds of Exail Technologies , at €134.00 per share. The deal, announced July 30, 2026, excludes the Gorgé family's holding, which accounts for 35.51% of Exail's share capital.

The agreement sets up a mandatory tender offer, maintaining the terms announced earlier. Exail's board of directors, advised by an independent expert, has unanimously backed the transaction.

Why now?

The process still needs standard regulatory approvals, which are expected by the third quarter of 2027. The tender offer would then proceed, with completion targeted for early 2028.
