Public Storage prices $900M notes at 4.855% to fund NSA acquisition

The structure: The notes come in two tranches. A $400 million tranche is due February 1, 2032, at a 4.700% rate and 99.283% of par; a $500 million tranche is due August 15, 2036, at a 5.150% rate and 98.553% of par. Including prior interest rate swaps, the 2036 notes carry an effective 4.979% rate, bringing the combined weighted average effective rate to 4.855%.

What could go wrong? The notes are not contingent on the acquisition closing. If the deal falls through, Public Storage must redeem the notes at 101% of principal plus accrued interest.
