Fundraise

Karamtara raises US$10.2M from Amara Partners ahead of US$237.7M IPO

What's the deal? Mumbai-based Karamtara Engineering has raised US$10.2M from Parag Shah-founded Amara Partners Growth Fund - I in a pre-IPO round. The allotment of 24.19 lakh compulsorily convertible preference shares was priced at US$4.21 apiece, valuing the company at about US$1.41B.

Why now? The raise lands just before Karamtara files its red herring prospectus for a planned US$237.7M mainboard IPO. It approached markets in January 2025 with a draft document to the Securities and Exchange Board of India (SEBI), which cleared the papers in June 2025.

The proposed IPO combines a US$183.3M fresh issue and a US$54.3M offer-for-sale. The pre-IPO placement will cut the fresh issue size by US$10.2M.

What does the company do? Karamtara makes solar mounting structures, tracker components, and transmission line hardware, running eight manufacturing facilities in India and abroad. It competes with listed peers including Inox Wind, Premier Energies, Waaree Energies, and Suzlon Energy.

What's the endgame? The company plans to use US$142.6M of net fresh issue proceeds to repay loans, with the rest for general corporate purposes. That de-leveraging story sits against an FY24 in which profit roughly doubled to about US$13.9M.

A quick re-raise: This is the latest in a string of pre-listing placements. Promoters Tanveer Singh and Rajiv Singh sold 18.79 lakh shares for US$7.91M in March 2026, also at US$4.21 per share, and earlier placements reportedly brought in about US$14.4M from celebrities and sports personalities.

JM Financial, ICICI Securities, and IIFL Capital Services are the merchant bankers for the IPO.

The signal: A branded private equity backer entering just before listing marks Karamtara as more than a routine capital raise. It positions the company as one of the more watched upcoming listings in India's energy-infrastructure and renewables supply chain, a niche drawing strong institutional interest amid grid expansion and solar capacity additions.
