Amex Exploration raises C$43.5M in oversubscribed offering, adds C$31M private placement
What's the deal? Canadian gold explorer Amex Exploration has upsized its private placement after overwhelming investor demand, raising up to C$74.5M in combined financings. The company's LIFE offering — a Canadian exemption for listed issuers — was oversubscribed at C$43.5M, pricing 9.66 million shares at C$4.50 each. A concurrent private placement could bring in an additional C$31M.
Strategic investor Eldorado Gold Corporation has signalled interest in acquiring up to 4.57 million shares through the concurrent placement. Amex's president and chief executive officer, Victor Cantore, also plans to buy up to 394,011 shares.
The agents — led by National Bank FinancialDealroom has a profile for this one. Try Dealroom → and MDCP Securities as co-lead bookrunners — also received an option to sell up to 1.45 million additional shares, which could generate a further C$6.5M.
Why now? Amex needs the capital to fund its bulk sampling programme and part of a preliminary economic assessment at its gold project in Quebec. Gold prices have been trading near record highs, making it an opportune moment for junior explorers to raise money while investor appetite for gold exposure remains strong.
Eldorado's continued backing — under an investor agreement signed in January 2024 — adds credibility and suggests the strategic partner sees near-term value in Amex's asset.
What could go wrong? Junior mining financings at this scale carry dilution risk for existing shareholders. The combined offerings could add more than 18 million new shares to Amex's float, depending on how many options are exercised. If gold prices retreat or the bulk sampling programme disappoints, the stock could face pressure.
Regulatory approvals, including TSX Venture Exchange sign-off, are still pending. The concurrent placement also hinges on the agents' option being exercised and full participation from both Eldorado and management.
The signal: Amex's ability to upsize and oversubscribe a C$43.5M offering underscores how strongly capital is rotating into junior gold explorers while bullion trades near record levels. Eldorado Gold's deepening stake — building on a January 2024 investor agreement — fits a wider pattern of mid-tier producers locking in early positions in promising Canadian exploration assets, often a precursor to fuller consolidation moves.
