Part B – SaaS Terms
Part C – API Terms
Part D – Research Terms
Part A – Terms for all Services
1. Who we are
1.1 The Services are provided by Dealroom.co B.V., a private limited company incorporated under the laws of the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 59237368, with its registered address at Baarsjesweg 252H, 1058 AB Amsterdam, the Netherlands (Dealroom.co, we, us).
2. Our Services and how these Terms fit together
2.1. Part A applies whenever you use any of our Services. Part B applies in addition if you have an account on our Platform, Part C if you have access to our API or receive data deliveries from us, and Part D if you purchase Research. If Part B, C or D conflicts with Part A, that Part prevails for the Service concerned.
2.2. Paid Services require an Order Form: any quote, order form, or other ordering document you sign or accept that sets out the commercial terms (such as products, fees, and term), including any Order Form referred to in an Ecosystem Agreement.
2.3. Some arrangements involve more than standard product use. Where you enter into an Ecosystem Agreement with us, that agreement governs the partnership-specific aspects of our relationship (such as collaboration scope, co-branding and data contribution). It incorporates these Terms for all baseline legal matters. These Terms govern any SaaS or API access provided as part of an Ecosystem Agreement in the same way as any other SaaS or API use.
2.4. Order of precedence. If there is any inconsistency between these documents, the following order applies, from highest to lowest priority:
(a) the commercial terms set out in an Order Form;
(b) the partnership-specific terms of an Ecosystem Agreement;
(c) these Terms.
Where a higher-priority document is silent on a matter, the lower-priority document applies. An Order Form or Ecosystem Agreement overrides these Terms only to the extent it expressly and specifically addresses the same matter.
3. No endorsements and no commercialisation
3.1. Dealroom.co does not give any (investment) advice, recommendations or endorsements about specific data, companies, people or organisations. Any (business) decision taken using data provided by us is wholly your own responsibility, and we will not be liable for it.
3.2. The data shown to you is for your personal and/or internal business purposes only. You may use the data to further your business, find investors, or otherwise educate yourself. You may not commercialise, share, copy, extract, or sub-license any of the data, whether shown on the Platform, obtained through the API, or obtained or viewed in any other way, except as expressly permitted under these Terms or an Order Form.
4. Proposals and performance
4.1. Any proposal or offer we make is non-binding unless expressly agreed otherwise, and applies only to the Services specified in it.
4.2. When you provide us with information, we may assume it is correct, complete and up to date, and we will base our proposal on it. If you have provided false, incomplete or misleading information, we may revise our proposal.
4.3. Dealroom.co will perform its Services to the best of its knowledge and ability and according to the requirements of professional practice.
4.4. Any change, including its price, is agreed in writing as an amendment to the Order Form.
5. Handling of personal data
5.1. The Platform contains information on people in the start-up and scale-up ecosystem, including personal data. We process that data in accordance with the GDPR, as described in our Privacy Statement. Each of us acts as an independent controller in respect of that personal data; we do not process personal data as your processor under these Terms.
5.2. When you use the Platform or API, you must protect any personal data diligently, in accordance with applicable laws and the GDPR. You are responsible for assessing, before any processing, whether your intended processing is legitimate, necessary and GDPR-compliant. You are responsible and liable towards the data subject for any unlawful processing, and for safeguarding all personal data. Nothing in these Terms, the licence, or any Order Form waives or limits that responsibility. Dealroom.co will cooperate with and assist you on questions about your intended processing. If you export or publish personal data originating from the Platform or API, this may trigger requests from data subjects to alter or remove their data; any such request must be handled in accordance with the GDPR as soon as possible, and you will inform Dealroom.co promptly. If the security of personal data originating from the Platform or API has or may have been compromised (including a data breach), you will inform Dealroom.co immediately.
5.3. When your licence to use our data ends, you must delete all personal data obtained through the Platform or API, including copies held within your organisation, and confirm the deletion to Dealroom.co in writing on our request.
5.4. We use automated tools, including artificial intelligence, in sourcing, verifying and maintaining data on the Platform. Our use of such tools is consistent with Article 5.1 and described further in our Privacy Statement.
6. Pricing
6.1. Prices are set out in the relevant Order Form. Prices exclude expenses and any taxes or levies imposed by relevant authorities.
6.2. Prices are fixed for the term of an Order Form. Any price increase applies only from renewal, as set out in the Order Form.
7. Payment and collection charges
7.1. Payments are made in advance, on the payment and invoicing terms set out in the Order Form.
7.2. If a payment is due and unpaid, you are automatically in default; no default notice is required.
7.3. Payments are non-refundable.
7.4. Complaints about our Services do not suspend any payment obligation.
7.5. In the event of default, we may: charge statutory commercial interest from the due date until payment in full, suspend your account and API access, and charge all extrajudicial collection costs.
8. Ending an account or a paid subscription
Free accounts
8.1. You may close a free account at any time.
8.2. We may close or suspend a free account at any time, including in the circumstances described in Article 16.6.
Paid subscriptions
8.3. A paid subscription runs for the term set out in the Order Form and ends at the end of that term unless it is renewed in accordance with the Order Form. You cannot terminate a paid subscription before the end of its term unless the Order Form expressly provides otherwise. Closing or deleting a user account does not end a paid subscription and does not end or reduce any payment obligation under the Order Form.
8.4. We may terminate a paid subscription with immediate effect by written notice to you at the email address in your account or Order Form if you are in default of payment (Article 7.2), or if you materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within 30 days of our written notice. In that case, all fees for the remainder of the term become immediately due and payable.
Effects of ending
8.5. When a free account closes or a paid subscription ends, for whatever reason:
(a) your access to the Platform ends and any API Key (Article 19.4) is blocked;
(b) we may delete your account information;
(c) you must delete personal data obtained through the Platform or API in accordance with Article 5.3;
(d) any Contribution you made remains part of the Platform, and our licence to it (Article 18.2) continues;
(e) your licence to use data you obtained ends six months later (Article 17.3), after which you may not make new publications based on that data (publications made during the licence period may remain available);
(f) you are not entitled to any refund, in line with Article 7.3; and
(g) any data you obtained remains subject to these Terms.
9. Availability and maintenance
9.1. We will use reasonable efforts to keep the Platform and API available 24/7, but we do not guarantee uninterrupted availability.
9.2. Our technical support team is available on weekdays, excluding Dutch national holidays, from 08:30 to 17:00 Amsterdam time (CET/CEST).
9.3. We are responsible for operating and maintaining the Platform and API. They may be unavailable during maintenance, which we will, as far as reasonably possible, schedule outside office hours.
9.4. We may change the software operating the Platform or API, including by adding, modifying or removing features. We will not materially reduce the core functionality of a paid Service during the term of its Order Form.
9.5. We may modify the API or its documentation to fix faults or improve functionality. If a modification changes the technical interface, we will give you at least 30 days' notice at the email address in your account or Order Form.
9.6. We do not warrant that the software is error-free. Please report any errors, bugs, or malfunctions, and we will use reasonable efforts to resolve them promptly.
10. Third parties
We may engage third parties to perform part of our Services where we consider it necessary for their proper performance. We remain responsible for Services performed on our behalf.
11. Force majeure
We are not liable for any failure or delay caused by force majeure. If force majeure continues for more than 60 days, either party may terminate the affected Order Form in writing to us at [email protected], and to you at the email address in your account or Order Form. In that case, you are not liable for payments that would have fallen due after the force majeure period began, and neither party may recover damages arising from the force majeure.
12. Intellectual property
12.1. We (or our licensors and suppliers) are and remain the exclusive owner of all intellectual property rights (including database rights, copyright, trademarks, design rights, patents, source code and know-how) existing now or arising in future in connection with our software, data and Services. Your licensed use is not, and may not be interpreted as, a transfer or grant of any such rights to you.
12.2. Anything you derive from the data (including extracts, analyses, embeddings, vector representations, model inputs and model outputs) remains subject to these Terms and to the licence in Article 17. Deriving or transforming the data does not remove it from the scope of these Terms or create any new rights for you in the underlying data. Subject to those restrictions, you own the analyses, reports and other work product you create using the data.
12.3. If any intellectual property right nonetheless arises and vests in you through your use of the Platform, data or Services, you will, on first request, execute any documents needed to transfer that right to us unconditionally and at no charge.
13. Non-disclosure
Each of us will keep the other's Confidential Information confidential, unless disclosure is required by law or professional obligation. Confidential Information includes, in any case: information designated as confidential; the contents of, or negotiations relating to, an Order Form; and your personal data, except where that personal data is available on our Platform.
14. Liability
14.1. Unless otherwise agreed in writing, all data offered via the Platform or API is provided "as is" and "as available". We make no representation or warranty of any kind regarding the data.
14.2. We are not liable for lost profits or lost income. Use of the data is at your own risk, and any business or investment decision based on it is entirely your responsibility.
14.3. You indemnify us against all third-party claims (including fines, costs and damages) relating to your use of the Services, in particular claims relating to personal data you have collected, stored or processed via the Platform or API. We are not liable for the content of such data, nor for any reports or conclusions you base on data from the Platform or API.
14.4. We are not liable for damage caused by use not in accordance with these Terms or our documentation.
14.5. For any other damage, our total liability is limited to the lower of (i) EUR 25,000 and (ii) the fees paid by you under the relevant Order Form in the 12 months before the event giving rise to the claim. If you use only a free account, we are not liable for any damage, subject to Article 14.7.
14.6. Any claim against us lapses 12 months after you became aware, or should reasonably have become aware, of the matter giving rise to it.
14.7. The limitations in this Article 14 do not apply to damage resulting from our wilful misconduct or gross negligence.
15. General
15.1. These Terms apply for as long as you have an account with us, or an Order Form is in force, and afterwards to the extent the nature of a provision requires. Any provision that by its nature is intended to survive termination, including those on data deletion, intellectual property, confidentiality, liability and the data licence, continues to apply after termination.
15.2. We may amend these Terms from time to time, for example to reflect new best practices, laws or regulations. The current version is always published on our website with the date it last changed. Amendments apply to an existing Order Form only from its next renewal, except amendments required by law or regulation, or amendments that do not materially disadvantage you, which apply from the date of publication.
15.3. If any provision of these Terms is invalid or unenforceable, the remaining provisions are unaffected. The invalid or unenforceable provision is replaced by a valid, enforceable one that comes as close as possible to the intent of the original.
15.4. Each party waives any right to rescind or annul these Terms, in whole or in part, or to demand their rescission or annulment.
15.5. We may assign or transfer our rights and obligations under these Terms or an Order Form to a third party in connection with a merger, acquisition, reorganisation or sale of all or substantially all of our business or relevant assets. We will notify you of any such assignment. Except in those circumstances, we will not assign or transfer our rights and obligations without your prior written consent, such consent not to be unreasonably withheld or delayed.
15.6. You may not assign or transfer any of your rights or obligations under the Services, these Terms or an Order Form without our prior written consent.
15.7. These Terms are governed exclusively by the laws of the Netherlands, and the courts of Amsterdam have exclusive jurisdiction over any dispute.
Part B – SaaS Terms
These Articles apply if you have an account on our Platform, in addition to Part A.
16. Use of the Platform: free and paid accounts
16.1. You may register for an account. We offer free accounts and paid accounts.
16.2. You are responsible for choosing correct identifiers (such as your email address) and a strong password, and for keeping your credentials secure.
16.3. We will store your account data securely.
16.4. An account is personal to one named user. You may not share account credentials inside or outside your organisation. We may block an account without notice if we detect credential sharing. A paid seat may be reassigned to another named user within your organisation when the original user leaves or changes role, by notifying us.
16.5. You are responsible for all activity on your account once it has been logged into. If you lose access or suspect your account has been compromised, report it to us as soon as possible.
16.6. We may temporarily or permanently block an account where we reasonably believe it is being used unlawfully, in breach of these Terms, or in a way that threatens the integrity of our data or Services. We may also take any other reasonable measures appropriate to the circumstances.
16.7. Access to the Platform is for human users through our standard interface, and to the API only on the terms of Part C. You may not access, query or extract data from the Platform by any automated means, including scraping, crawlers, headless browsers, or autonomous agents, except through the API (including the other programmatic access channels described in Article 19.8, such as our MCP server) or as we have authorised in writing. Legitimate automated access to Dealroom data, including by AI agents or assistants acting on your behalf, is provided only through those channels.
16.8. Excessive use that places an unreasonable load on the Platform is not permitted, whether by human or automated means, and may result in your account being blocked.
16.9. We may change or limit the number of data points or records shown to free-account users without notice.
16.10. Where an organisation holds multiple accounts, the above applies equally to the organisation, which is responsible for ensuring its users comply with these Terms.
17. Viewing and exporting data: licence
Free accounts
17.1 As a free-account user, you have a limited, non-exclusive, non-transferable licence to use our software and view the data on the Platform, for the purposes in Article 3.2.
Paid accounts
17.2. With a paid account, you may export data up to the allowance (whether expressed in rows, records, credits or other units) set out in your Order Form. The allowance may be used during your subscription period and lapses automatically at the end of it; any unused allowance is not carried over and is not compensated. Data you exported within the allowance may be used on the terms of Article 17.3.
17.3. Your licence to use exported data is non-exclusive (we offer the same data to clients worldwide), limited to use within your organisation, and ends six months after your paid subscription ends. Publications you made in accordance with Article 17.4 during the licence period may remain available after the licence ends.
What you may do under the licence
17.4. Under the licence, at your own responsibility, you may:
- technically modify the data (but not personal data), without altering its content or meaning;
- use the data, including by means of your own internal artificial-intelligence or machine-learning tools (such as indexing, embeddings, retrieval, summarisation, or training models for internal use only), for your own internal business analysis; and
- publish aggregated findings, conclusions or advice based on the data, in compliance with applicable law (in particular privacy law) and the attribution requirement in Article 17.6.
What you may not do under the licence
17.5. Under the licence you may not:
- use the data for any purpose beyond those in Article 17.4;
- commercialise, share, sub-license, or otherwise make the data available to anyone outside your organisation;
- publish any raw datasets obtained from the Platform;
- modify or alter any personal data (as defined in the GDPR);
- use the data, or anything derived from it (including extracts, embeddings, model inputs or model outputs), to train, fine-tune, or improve any artificial-intelligence or machine-learning model that is, or is intended to be, made available to anyone outside your organisation; or
- use the data, or anything derived from it, to build, train, or operate any product, dataset, model or service that competes with Dealroom.co, whether existing or to be established.
17.6. When you publish anything based on data from the Platform, you must attribute the data to Dealroom.co (for example, "Source: Dealroom.co") and state that the use and interpretation of the data, and any conclusions or advice drawn from it, are your sole responsibility.
18. Contributions
18.1. You may in certain circumstances contribute data to the Platform (Contributions).
18.2. By making a Contribution, you grant Dealroom.co a licence to use any data in it. This licence is free of charge, irrevocable, worldwide, unlimited, sub-licensable and transferable, and allows us to use the Contribution for our Services in the broadest sense. We accept that licence as a right, not an obligation to use the Contribution.
18.3. Any Contribution must: be made in accordance with applicable law (in particular where personal data is involved); be complete, accurate and not misleading; not be offensive, discriminatory or otherwise inappropriate (which we decide); not contain malware or other harmful code; not infringe any third-party rights or any rights of Dealroom.co, our suppliers or clients; and otherwise comply with these Terms.
18.4. You fully indemnify Dealroom.co against any third-party claims, costs or damages arising from a Contribution you make.
18.5. Both human analysts and AI tools verify Contributions. We may remove, change or refuse any Contribution without prior notice, and we are not obliged to notify you of, or to return to you, any Contribution after your account ends.
Part C – API Terms
These Articles apply if you have access to our API or receive data deliveries from us, in addition to Part A.
19. Use of the API
19.1. To access the API, you must enter into an Order Form with us covering the API.
19.2. You must require any end-users of the API to comply with applicable law, these Terms and the API documentation. If the API documentation and these Terms conflict, these Terms prevail.
19.3. A maximum usage allowance, whether expressed in calls, credits or other units (the Limit), is set out in your Order Form. To exceed the Limit, you need our written consent; exceeding it may result in temporary access limitation. Unless your Order Form provides otherwise, the Limit applies to all programmatic access channels (Article 19.8) together.
19.4 Each API call must include your API key (API Key).
19.5. You may use the API only to embed Dealroom.co data in your own internal systems unless your Order Form expressly permits embedding in your own products.
19.6. Subject to Article 19.5, you may not: give a copy of the API Key to a third party; sub-license the API or make it available to third parties; publish any raw datasets obtained through the API; modify or alter any personal data obtained through the API; use the data, or anything derived from it, to train, fine-tune or improve any model made available to anyone outside your organisation, or to build, train or operate any product, dataset, model or service that competes with Dealroom.co; or otherwise misuse the API. The licence terms in Article 17 (including the permitted internal use and the restrictions) apply equally to data obtained through the API.
19.7. We may block your API Key if you breach Article 19.6.
19.8. Where we make the data available through programmatic channels other than the REST API, such as a Model Context Protocol (MCP) server, a command-line interface or a software development kit, those channels form part of the API for the purposes of these Terms, and this Part C applies to them in the same way. Bulk deliveries of data, such as data dumps, also form part of the API for the purposes of these Terms. Their scope, format, and delivery frequency are set out in the Order Form.
Part D – Research Terms
These Articles apply if you purchase Research from us, in addition to Part A.
20. Research
20.1. Research means any report, analysis, publication, or other deliverable we produce for you, including research publications under an Ecosystem Agreement. The scope, deliverables, delivery dates, and publication level of each piece of Research are set out in the Order Form.
20.2. We own all intellectual property rights in the Research, including the underlying data, methodology, and analyses. Article 12 applies to the Research in full. The Research is not work product you create within the meaning of Article 12.2.
20.3. You have a non-exclusive, non-transferable, perpetual licence to use the Research at the publication level named in the Order Form:
(a) Internal use: you may use the Research within your organisation only;
(b) Public use with attribution: in addition, you may publish the Research in full or in part, provided you do not alter its data or findings and you attribute it to Dealroom.co in line with Article 17.6;
(c) Co-branded: in addition, the Research is published under both Parties' names and logos, in a form both of us approve. Each Party may publish and distribute it.
Where the Order Form names no publication level, (a) applies.
20.4. We may reuse the data, analyses, and insights in the Research for our other Services and publications, but not your Confidential Information. We will not publish Research licensed at the internal-use level, or name you as the party that commissioned it, without your consent.
20.5. Unless the Order Form states otherwise, each deliverable includes two review rounds. You send your comments within 10 working days of delivery; if you send none, the deliverable is accepted. Comments may address factual errors and presentation. We keep final editorial control over the data and findings.
20.6. We may involve third-party sponsors in the Research, up to a maximum of four unless the Order Form states otherwise. You may object to a proposed sponsor only if the Order Form gives you that right, or if the sponsor is a direct competitor of yours. You may not involve sponsors yourself without our written consent. A sponsor acquires no rights to the data or the Research beyond what is agreed in writing.
20.7. Data you provide for the Research is used only for that Research and is treated as your Confidential Information, unless you agree that it is a Contribution under Article 18.
20.8. Research fees are invoiced as stated in the Order Form and are non-refundable (Article 7.3). Delays caused by you do not postpone payment. If you delay the Research by more than 30 days, or ask for changes to the agreed scope or focus, we may charge additional fees. We will send you a quote first, and the additional work starts once you accept it.
20.9. The Research is based on data provided "as is". Articles 3.1 and 14 apply.
20.10. Research follows our standard design. Where the Order Form provides for it, elements such as the colour palette and logos are agreed with you, as is the case for co-branded Research. Other design requests are not included.
