NowVertical raises $7.12M in debentures as part of larger placement

What's the deal? NowVertical Group, a Toronto-based data engineering and analytics firm, has closed a US$7.33M (≈$7.12 million) tranche of 10% senior unsecured convertible debentures. The raise completes a brokered private placement that brought in US$11.1M gross when combined with a share-and-warrant tranche issued days earlier.

The terms: The debentures mature in 36 months and convert into Class A subordinate voting shares at US$0.15 each, with detachable warrants exercisable at US$0.18 over three years. What's the endgame? NowVertical plans to use the net proceeds to strengthen its balance sheet, fund its growth strategy, and cover working capital. The listed TSXV company is pairing the raise with a leadership shift, naming Kingsley Ward as executive chairman.

Why now? The financing follows improving but modest results. Second-quarter 2026 revenue rose 18% year over year to US$7.11M and adjusted EBITDA climbed 41%, though first-half revenue was up just 4%.

The company also reported positive first-half operating cash flow after an outflow a year earlier.

What's the catch? The debt is expensive: the 10% coupon and conversion rights could dilute existing shareholders. Certain directors, officers, and their affiliates took part, acquiring 616 of the debenture units.

The signal: For a small-cap analytics firm, the infusion buys room to pursue commercial expansion and broader Google CloudDealroom has a profile for this one. Try Dealroom → offerings. But the cost of the capital makes execution and debt management the metrics to watch.
