Elong Power raises $3.26M via warrant repricing, its fourth equity-linked deal in 2026

What's the deal? Elong PowerDealroom has a profile for this one. Try Dealroom →, a Nasdaq-listed provider of lithium-ion battery energy storage systems, raised roughly $3.26 million in gross proceeds through a warrant inducement agreement disclosed November 5, 2026. Institutional investors agreed to immediately exercise existing warrants covering 1,808,803 Class A ordinary shares at a cut price of $1.80, down from $3.80.

How it works: In exchange, Elong Power will issue new warrants to buy up to 2,713,204 Class A shares at $2.50 each — 150% of the shares exercised. The new warrants are exercisable immediately, expire in three years, and carry a floor exercise price of $0.502. Maxim Group LLC acted as financial advisor.

Where the money goes: The net proceeds are earmarked for working capital and general corporate purposes. The closing was expected on or around November 6, 2026.

Why now? The deal continues a pattern of equity-linked financing. Elong Power raised about $6 million in May and $6.6 million in July through offerings that included warrants, and later reported roughly $20 million in aggregate offering proceeds. This repricing targets those same warrant series, issued in May, July, and August.

What's the endgame? The company has pivoted to an asset-light energy-storage integration business built around its "Asset-Light, R&D-Intensive, AI + Energy Storage" strategy. First-half 2026 revenue rose to $2.9 million, though from a very small prior-year base.

What could go wrong? The deal brings in only about $3.26 million gross while cutting warrant prices and issuing replacement warrants for 150% of the shares exercised — meaningful potential dilution for existing holders. It provides near-term cash but little growth capital.

The signal: The recurring warrant financings make this less a conventional growth round than a sign of ongoing dependence on equity capital. For a small-cap energy-storage player, repricing warrants to pull forward cash underscores how tight the funding options have become.
