Solowin raises $12.4M in share sale to repay notes, fund stablecoin push

What's the deal? Solowin HoldingsDealroom has a profile for this one. Try Dealroom → on November 5, 2026 disclosed a registered direct offering of 10,300,000 Class A ordinary shares at $1.20 each, targeting gross proceeds of roughly $12.36 million. The Cayman Islands company sold the shares to select individual investors under a shelf registration, with closing expected on or around November 20, 2026.

Who's involved? The deal skipped intermediaries entirely: Solowin confirmed no placement agent, underwriter, or broker-dealer took part, meaning no commissions or placement fees. Chief executive officer Ling Ngai Lok signed the Form 6-K filed with the Securities and Exchange Commission.

What's the money for? Proceeds will repay principal and interest on promissory notes issued September 10, 2026, and support working capital and general corporate needs.

Why now? The sale caps a rapid run of financing. Solowin launched a potential $50 million at-the-market equity program in October and issued short-term notes in September, some of which this offering now helps retire.

What could go wrong? The 10.3 million new shares add dilution on top of those other financing channels. FY2026 revenue rose to $28.05 million, but the company still posted a $13.29 million net loss, underlining a reliance on repeated capital raises to fund operations.

The signal: The raise reflects Solowin's bid to fund expansion in stablecoins, payments, and AI infrastructure while managing near-term debt. For now, the story is less about growth than about how the company keeps paying for it.
