Enapter raises up to €13M in rights issue to fund China pivot

What's the deal? Enapter AGDealroom has a profile for this one. Try Dealroom → has launched a cash capital increase, offering up to 13,017,479 new shares at €1.00 each to raise gross proceeds of up to €13 million. The German greentech firm, which develops AEM electrolysers for green hydrogen, is backed by RS Energy Technology Limited, a Hong Kong company in the Runshihua Group that has committed to subscribe for any unplaced shares up to €12 million.

How it works: The subscription runs from November 4 to November 18, 2026, at a 2:1 ratio — two existing shares entitle holders to one new share. The backstop is capped at a 25%-minus-one-share stake after completion. Net proceeds will mainly repay existing liabilities and finance working capital.

What's the endgame? The raise funds a shift to an asset-light model with partner-based production in China. Chief executive officer Jürgen Laakmann called it "a decisive building block in completing our strategic realignment towards an asset-light business model with partner-based production in China."

The move follows an agreement to resolve roughly €26 million of bond debt. Enapter supplies thousands of electrolysers to more than 360 customers across over 55 countries, using patented anion exchange membrane technology that avoids rare materials such as iridium.

What could go wrong? This is restructuring, not expansion. The company's half-year report showed a €28.8 million order backlog, down from €42 million a year earlier, and it withdrew its 2026 guidance. European electrolyser projects face delays and cancellations amid high costs and uncertain offtake.

The signal: The backstop gives Enapter funding certainty, but the real test is execution — whether it can complete its China pivot and convert a shrinking backlog into revenue in a sector where demand remains unproven.
