Riversgold raises US$1M to fund 15-fold expansion of Kalgoorlie gold project

What's the deal? Australian explorer RiversgoldDealroom has a profile for this one. Try Dealroom → has raised US$1M (≈$1.09 million) through a share placement to fund the acquisition of a tenement that would expand its Kalgoorlie-Northern Zone Project. The placement, priced at US$0 per share, will issue about 258.3 million new shares across two tranches to sophisticated and professional investors.

Why now? The raise followed a day after Riversgold announced the strategic acquisition of tenement E25/594 from a subsidiary of Black Cat SyndicateDealroom has a profile for this one. Try Dealroom →. "We moved quickly to secure funding that will allow us to capitalise on the significant opportunities now available at Northern Zone," said executive chairman David Lenigas.

What's the endgame? The acquisition would lift the project area roughly 15-fold, from 0.82 to about 12.82 square kilometres, near Kalgoorlie in Western Australia. Funds will fast-track completion of the deal, which requires US$647.1K in cash plus shares.

What could go wrong? The placement is notably dilutive. At US$0, it sits well below the US$0.01 deemed price for shares issued to Black Cat. Tranche two, which includes 8,333,333 shares subscribed for by Lenigas, still requires shareholder approval expected in late 2026.

708 CapitalDealroom has a profile for this one. Try Dealroom → acted as lead manager. Riversgold will also seek approval to issue 30,000,000 unquoted options exercisable at US$0.01 each, with a two-year term.

The signal: The raise is less a standalone exploration round than a bet on a project nearing a regulatory milestone. Riversgold lodged a key development proposal in September, and partner MEGA Resources is set to fund mine costs under a 50/50 profit-sharing deal — positioning Northern Zone for possible mining as the company builds toward what Lenigas called "a significant Kalgoorlie gold asset."
