Neighborly refinances with $275M whole-business securitization

What's the deal? NeighborlyDealroom has a profile for this one. Try Dealroom →, the KKR-backed home maintenance franchise operator, raised $275 million in debt through a whole-business securitization. The new BBB-rated notes are backed largely by royalties and other revenues from 19 of its 27 brands.

Why now? The issuance is a refinancing, not fresh capital. Proceeds are expected to repay $265 million of Neighborly's 2023 notes.

What's the endgame? Neighborly runs a franchise platform spanning home-services brands, with initial franchisee investments ranging from roughly $75,000 to $360,000 by brand and territory. The royalty streams from those franchises underpin the new deal.

Among its structural features, the series 2026-1, class A2 notes carry scheduled amortization of 1.0% annually. That stays in place unless the senior leverage ratio falls to 5.5x or below without an ongoing rapid amortization event, according to KBRA.

The signal: At $275 million, the deal sits in the top 5% of US debt rounds by size, all-time. It fits a busy, investor-driven home-services market, where sector sales rose 7.1% in 2025 and private equity accounted for 60.5% of residential-services M&A through 2026 year to date. ApaxDealroom has a profile for this one. Try Dealroom →-backed Authority BrandsDealroom has a profile for this one. Try Dealroom → issued its third whole-business securitization in May 2026 — a close parallel showing royalty-based franchise cash flows remain financeable amid consolidation, even when the money is a debt rollover rather than growth capital.
