Shield AI to buy Echodyne for $5.3B, hitting $28.8B valuation

What's the deal? Defense tech firm Shield AI is acquiring EchodyneDealroom has a profile for this one. Try Dealroom →, a maker of counter-drone radar systems, in a $5.3 billion deal, the companies announced. Shield is raising $2.5 billion to support the purchase, including $1 billion in Series H funding at a $28.8 billion valuation. The rest comprises $1 billion in structured equity from Blackstone and $500 million in debt from JPMorgan.

What each side brings: Shield makes autonomous aircraft systems for militaries, spanning autonomy software to its X-Bat drone. Echodyne sells radar sensors to defense, government, and commercial customers in more than 40 countries.

What's the endgame? The acquisition, expected to close in early 2027, gives Shield an in-house counter-drone offering and moves it toward an integrated detect-and-respond product. Echodyne will operate as a business unit within Shield's mission systems division, with its chief executive officer, Eben Frankenberg, staying on. There are no planned workforce cuts.

The deal fits a pattern of expansion by acquisition. Shield's V-Bat drone came from a 2021 purchase of Martin UAVDealroom has a profile for this one. Try Dealroom →, and earlier this year it closed the acquisition of simulation software firm Aechelon Technologies.

Why now? Demand for counter-drone defense is rising. The Pentagon has been awarding layered counter-UAS contracts, and Echodyne's radar was selected in September by the Joint Interagency Task Force 401 to supply systems to the US military.

Chief executive officer Gary Steele said the deal "dramatically accelerates our efforts to meet growing customer demand for multi-mission capabilities."

What could go wrong? The $28.8 billion valuation is more than twice the $12.7 billion Shield commanded in March, making the steep markup and the scale of integration material risks.

The signal: The financing package and valuation jump underscore investor appetite for defense technology, as autonomy and sensing converge into single platforms built to detect and respond to drone threats.
