Shield AI to buy Echodyne for $5.3B and raise $2.5B at a $28.8B valuation
What's the deal? Shield AI has agreed to buy Echodyne, the Kirkland, Washington maker of compact counter-drone radars, in a deal valued at $5.3 billion, the companies said on 5 November 2026. Shield is raising $2.5 billion to fund it: $1 billion of Series H equity at a $28.8 billion post-money valuation (co-led by Disruptive and Innovation X Capital), $1 billion of structured equity from funds managed by Blackstone, and $500 million of debt arranged by JPMorgan. Of the $5.3 billion, $4.8 billion is due at closing and up to $500 million more if Echodyne hits performance targets. Closing is expected in early 2027, subject to regulatory approval.
What each side brings: Shield builds Hivemind autonomy software, V-BAT and X-BAT autonomous aircraft, and simulation via Aechelon. Echodyne's metamaterials MESA radars sit in hundreds of counter-drone and security systems in more than 40 countries; in September it won a US Joint Interagency Task Force 401 contract with a $250 million ceiling. After closing, Echodyne stays as a Mission Systems unit, CEO Eben Frankenberg reports to Shield CEO Gary Steele, and no layoffs are planned.
Why it matters: The valuation more than doubles Shield's $12.7 billion mark from March, and GeekWire calls the exit one of the largest for a Washington venture-backed company after Auth0. It is a clear bet that autonomy and sensing will be sold as one counter-drone stack, just as defence and commercial demand for C-UAS rises.
