Japan Exchange's venture arm backs startup platform Smartround with $1.89M

What's the deal? JPX Market Innovation & Research (JPXI), the research and venture arm of Japan Exchange GroupDealroom has a profile for this one. Try Dealroom →, has made a strategic investment of US$2.31M (roughly $1.89 million) in SmartroundDealroom has a profile for this one. Try Dealroom →, a Tokyo-based equity management platform for startups and investors. The deal, announced November 5, 2026, combined newly issued warrants with a secondary purchase of shares from an existing shareholder.

What does Smartround do? Founded in 2018, it runs smartround, a platform covering cap table management, shareholder registry, stock option administration, and portfolio tracking. On October 2, 2026, its broker-dealer subsidiary, Smartround Securities, launched SPO, a service enabling startups to run structured secondary transactions — private-market share sales to new investors.

Why now? Japan's startup ecosystem has long relied on IPOs as the main exit, pushing some companies toward "forced IPOs" at small valuations. Regulators have moved to ease unlisted-share transactions, and in August the Financial Services Agency registered Smartround Securities as a specialist broker for secondary trading in private shares.

What's the endgame? The two companies signed a memorandum of understanding to explore three areas: improving liquidity in private markets, integrating Smartround's data infrastructure with JPX Group's market infrastructure, and delivering resources to startups, shareholders, and investors. JPXI said it will support the development of secondary-market infrastructure for private shares.

By the numbers: The round sits in a modest range by funding standards, landing in the lower half of comparable early-stage deals. JPX Ventures, the corporate venture capital arm launched in April 2026, makes minority investments to make JPX markets more attractive.

The signal: Japan's financing is shifting toward later-stage capital and IPO alternatives — first-half 2026 funding rose 12% year on year, but only about 2% excluding one large AI deal, with Series C weakening. From 2030, Tokyo Stock Exchange Growth Market rules will require a US$76.9M market capitalization five years after listing, raising the stakes for private liquidity. Backing Smartround puts the exchange operator itself at the center of building that infrastructure.
