Sweden's Ahlsell bids $617M for Swiss building-tech firm Meier Tobler

What's the deal? Swedish industrial distributor AhlsellDealroom has a profile for this one. Try Dealroom → has launched a public tender offer for Meier ToblerDealroom has a profile for this one. Try Dealroom →, a listed Swiss specialist in heating, ventilation and air conditioning. The all-cash offer of 45.50 francs per share values the Zurich-based company at about 492 million francs, a 30.8% premium to its 60-day volume-weighted average price.

Who's involved? Founded in 1937 and based in Schwerzenbach, Meier Tobler employs around 1,300 people across Switzerland and posted 2025 revenue of nearly 500 million francs. Ahlsell, based in Stockholm, is a leading B2B distributor of technical products in the Nordic and Baltic markets, with close to 8,000 employees and 2025 turnover of roughly 4.4 billion francs.

What changes? Meier Tobler will continue as an independent company within the Ahlsell Group, which says it will keep jobs and the local Swiss presence. Both firms sell heating, ventilation and air-conditioning products to professional customers, and Ahlsell sees Meier Tobler's expertise in heat generation, climate systems and service as complementary.

Why now? The deal marks Ahlsell's expansion beyond its Nordic base into Switzerland and Central Europe. It follows the group's 2026 acquisition of Swedish energy specialist KE ThermDealroom has a profile for this one. Try Dealroom →, part of a push into heating and decarbonisation solutions.

What's the endgame? Meier Tobler is set to gain access to Ahlsell's resources in digitalisation and artificial intelligence, plus a broader financial base for long-term investment as Switzerland decarbonises its building stock. Ahlsell plans to delist Meier Tobler from the SIX Swiss Exchange after completion.

How likely is it? The deal is well advanced. Main shareholder Meier Capital, which holds 58.55% of shares, has agreed to tender its stake, covering much of the 80% minimum acceptance threshold. The board unanimously recommends the offer, backed by a fairness opinion from IFBC.

What's next? The offer period runs from November 5 to December 2, 2026. Completion is expected in the first quarter of 2027, subject to the acceptance threshold and competition and regulatory clearances. Meier Tobler shares jumped more than 18% on the Swiss exchange after the announcement.

The signal: A traditional Swiss company is set to pass into foreign ownership as Nordic distributors chase scale across Europe. The move lands as the Swiss heat-pump market, after its recent boom, cooled in 2024–2025, with Meier Tobler reporting stable sales amid weak demand.
